Valid from 18.8.2025
(hereinafter referred to as the “Operator”)
1.2. These terms and conditions (hereinafter referred to as the “Terms”) govern the mutual rights and obligations between the Operator and the user (hereinafter referred to as the “User”) arising in connection with the purchase of digital content – editable flyer templates (hereinafter referred to as the “Templates”) through the web interface https://miniema.com (hereinafter referred to as the “E-shop”).
1.3. Provisions differing from these Terms may be agreed upon in the purchase contract. Divergent provisions in the purchase contract take precedence over these Terms.
1.4. The Operator may change or supplement the wording of the Terms. This does not affect rights and obligations arising during the validity of the previous version of the Terms.
2.1. The E-shop contains a list of Templates with their descriptions and prices. Prices are listed including VAT (if applicable) or indicate that the Operator is not a VAT payer.
2.2. To order a Template, the User completes the order form in the E-shop interface, where they agree to these Terms and acknowledge the Privacy Policy.
2.3. The contractual relationship between the Operator and the User arises upon submission of the order and its acceptance by the Operator. The Operator will confirm acceptance of the order to the User at the e-mail address provided in the order.
2.4. The User agrees to the use of remote communication means when concluding the purchase contract. Any costs incurred by the User in using these means (internet connection costs) are borne by the User.
3.1. The User may pay the price of the Template using the payment methods listed in the E-shop interface (e.g. online card payment, bank transfer).
3.2. In the case of cashless payment, the User’s obligation to pay is fulfilled when the relevant amount is credited to the Operator’s account.
3.3. After payment, the User will be granted access without undue delay to the digital content – the Template for editing. The User will be informed of the access by e-mail.
4.1. Delivery of digital content means providing the User with access to the Template for editing in the online editor on the E-shop.
4.2. The User expressly agrees that digital content will be made available to them immediately after payment, i.e., before the expiry of the 14-day withdrawal period. The User acknowledges that by granting this consent, they lose the right to withdraw from the contract. The User confirms this consent by checking the relevant box in the order form.
5.1. By paying the purchase price, the Operator grants the User a non-exclusive, non-transferable license to use the Template and the final flyer created from it (hereinafter referred to as the “Design”) for their personal or commercial purposes.
5.4. All copyright to the Templates belongs to the Operator. By purchasing a Template, the User does not acquire ownership of the copyright.
6.1. The Operator is responsible for ensuring that the digital content is free from defects, i.e., that it corresponds to the description and functions for its intended purpose.
6.2. If the digital content is defective (e.g., cannot be opened, edited, or downloaded), the User must report the defect without undue delay to the Operator by e-mail at info@miniema.com.
6.3. The Operator undertakes to remedy the defect within a reasonable period. If the defect cannot be remedied, the User has the right to a reasonable discount or to withdraw from the contract.
6.4. The Operator is not responsible for defects caused by using the digital content contrary to its intended purpose or these Terms, nor for defects caused by inadequate equipment on the User’s side.
7.1. As stated in Article 4.2 of these Terms, the User who is a consumer has no right to withdraw from the contract within 14 days without giving any reason, since they have expressly agreed to the provision of digital content before the expiry of this period.
8.1. User’s personal data protection is provided in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR). Detailed information is provided in the separate document “Privacy Policy,” available in the E-shop.
9.1. Relationships not regulated by these Terms are governed by the laws of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code, as amended.
9.2. Any disputes will primarily be resolved amicably. The User who is a consumer also has the right to out-of-court dispute resolution through the Czech Trade Inspection Authority. More information is available at www.coi.cz.
9.3. These Terms come into effect on 1.1.2024.
